Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the hosted Great Arrow Digital application (the “Service”), including the website at great-arrow-digital.vercel.app, all related APIs, the Model Context Protocol (MCP) server and bundled extensions, and any installer or CLI we publish (collectively, the “Service”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

1. Account & access

Access to the Service is private and gated by an allow-list during the current rollout. You are responsible for maintaining the confidentiality of your sign-in credentials, personal access tokens, and any OAuth credentials you mint, and for any activity occurring under your account. Notify us promptly at security@manito.ai if you suspect unauthorized use. You must be at least 13 years old (16 in the EEA / UK) to use the Service.

2. Subscription & fees

The Service is a paid Software-as-a-Service product. Pricing, billing cadence, included usage allowances, and overage rates are set out in your order form or in-app billing page. Unless otherwise agreed in writing:

• fees are payable in advance for each billing period;
• fees are non-refundable except as required by applicable law;
• fees exclude taxes, duties, and similar charges, which you are responsible for;
• continued use of the Service after a billing period is your authorization to charge the next period’s fees to the payment method on file.

We may change pricing on at least thirty (30) days’ notice; the new pricing applies at the start of the next renewal term.

3. Acceptable use

You agree not to, and not to permit any third party to:

• reverse engineer, decompile, or otherwise attempt to derive the source form of any portion of the Service that is not made source-available;
• resell, sublicense, lease, lend, or otherwise commercially exploit the Service except as expressly authorized in writing;
• use the Service, or any output generated by it, to develop, train, benchmark, or evaluate a competing product or service;
• upload, store, or transmit content that is illegal, infringes the rights of others, contains malicious code, or violates the acceptable-use policies of the Service’s upstream providers (Vercel, Supabase, the Vercel AI Gateway, and the model providers we route to);
• probe, scan, or stress-test the Service except via the documented rate-limited endpoints, or attempt to circumvent authentication, authorization, or rate limits;
• impersonate another person or organization, misrepresent your affiliation, or evade applicable law;
• attempt to access another tenant’s workspace, data, or memories, or to defeat the workspace-boundary controls; or
• use the Service in connection with high-risk activities where failure could lead to death, personal injury, or environmental damage.

We may suspend or terminate access for material breach of this section without prior notice.

4. Customer Content

You retain all rights to the data, files, prompts, memories, and agent outputs you upload, generate, or store through the Service (“Customer Content”). You grant Manito AI a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Content solely as necessary to (a) provide the Service to you, (b) prevent or address security and abuse issues, and (c) comply with legal obligations. We do not access Customer Content for any other purpose without your prior consent. We do not use Customer Content to train large language models for any third party or for our own product development without your separately-given consent.

5. Third-party services

The Service routes requests to third-party providers including large-language-model providers (such as Anthropic, OpenAI, and Google), email providers (Resend), analytics / monitoring (Sentry, Vercel), and the integration providers you choose to connect (Google Workspace, Microsoft 365, Slack, Notion, Atlassian, Asana, Discord, Zoom, Dropbox, GitHub, GitLab, and others). Your use of those services through the Service is also governed by their respective terms; we are not responsible for outages, policy changes, or content originating from those providers.

6. Intellectual property

The Service — including all software, design, documentation, models, prompts, configurations, and trademarks — is and remains the exclusive property of Manito AI and its licensors. Subject to these Terms and your timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term. No other rights are granted, whether by implication, estoppel, or otherwise.

7. Confidentiality

Each party will protect the other’s non-public business and technical information disclosed in the course of using the Service (“Confidential Information”) with the same care it uses to protect its own confidential information of like importance, and at minimum reasonable care. Confidential Information will not be disclosed to any third party except (a) to employees, advisors, and contractors with a need to know who are bound by confidentiality obligations no less protective than these Terms, or (b) as required by law. This obligation survives termination for three (3) years.

8. Warranty disclaimer

EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. MANITO AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT THE OUTPUT OF ANY MODEL ACCESSED THROUGH THE SERVICE WILL BE ACCURATE, NON-INFRINGING, OR APPROPRIATE FOR YOUR USE CASE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANITO AI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED UNITED STATES DOLLARS (US$100). IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE LEGAL THEORY.

10. Indemnification

You will defend, indemnify, and hold harmless Manito AI and its officers, employees, and agents against any third-party claim arising from (a) your Customer Content, (b) your use of the Service in violation of these Terms, or (c) your violation of applicable law.

11. Termination

Either party may terminate the subscription at the end of the then-current billing period on written notice. We may suspend or terminate access immediately for material breach (including non-payment) or to comply with law. Upon termination your right to use the Service ends; we will retain Customer Content for thirty (30) days for export, after which it is deleted from primary storage in the ordinary course (encrypted backups may persist for up to ninety (90) days). The provisions that by their nature should survive termination (Sections 6 — 9, 12) survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflicts-of-law rules and the U.N. Convention on Contracts for the International Sale of Goods. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state and federal courts located in Delaware, and the parties consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or via the Service at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance.
